We refer to the announcements dated 25 April 2022 and 9 May 2022 in relation to the Proposed Bonus Issue (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board of Directors of MDGM, CIMB Investment Bank Berhad (“CIMB”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has vide its letter dated 17 May 2022, resolved to approve the listing of and quotation of 3,144,186,250 new ordinary shares in the Company to be issued pursuant to the Proposed Bonus Issue.

The approval granted by Bursa Securities for the Proposed Bonus Issue is subject to the following conditions:

(i) MDGM and CIMB must fully comply with the relevant provisions under the Main Market Listing Requirements (“Listing Requirements”) pertaining to the implementation of the Proposed Bonus Issue;

(ii) MDGM is required to furnish the Bursa Securities with a certified true copy of the resolution passed by the shareholders at the extraordinary general meeting approving the Proposed Bonus Issue;

(iii) MDGM and CIMB are required to inform Bursa Securities upon the completion of the Proposed Bonus Issue;

(iv) MDGM is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed; and

(v) MDGM and CIMB are required to make the relevant announcements in accordance with Paragraphs 6.35(2)(a)&(b) and 6.35(4) of the Listing Requirements.
